TradeDFine

Terms of Use

Draft 0.1, 24 October 2026

Draft for legal review. Not yet in force.

These Terms of Use ("Terms") govern your use of the TradeDFine website at tradedfine.in and the TradeDFine app (together, the "Service"). The Service is provided by TradeDFine ("TradeDFine", "we", "us"). By creating an account or using the Service you agree to these Terms, the Privacy Notice and the Risk Disclosure, which form part of these Terms.

1. What TradeDFine is, and what it is not

1.1 TradeDFine is risk-control software for individual traders in Indian exchange-traded futures and options. You set your own limits, such as a daily loss limit, a maximum number of new trades per day, trading hours, blocked days, a profit lock and stop-losses. The Service monitors your own broker account and alerts you, and, where you switch a control to live and your broker allows it, acts to keep the account within the limits you set.

1.2 TradeDFine is not a stockbroker, investment adviser, research analyst, portfolio manager or any other intermediary registered with the Securities and Exchange Board of India (SEBI). We do not recommend, select or time any trade, instrument or strategy. Nothing in the Service is investment advice or a recommendation.

1.3 Every limit is chosen by you. The Service does not decide for you what is a suitable level of risk.

2. Who may use the Service

2.1 You must be at least 18 years old, resident in India, and legally able to enter into a contract.

2.2 You may connect only trading accounts that are held in your own name. You may not use the Service to monitor or control another person's account, even with their permission, unless we have agreed in writing and the law and your broker allow it.

2.3 During the founding beta the Service is available by invitation only. We may accept or decline any request to join.

3. Your account

3.1 You sign in with a one-time link sent to your email address and a code from an authenticator app (the "second step"). Keep your email account, your phone and your recovery codes secure. You are responsible for activity under your account.

3.2 We will never ask you for your broker password, PIN, OTP, TOTP code, API secret, authenticator code, recovery code or sign-in link. We contact you only from email addresses ending in @tradedfine.in and from our official Telegram bot @TradeDFineAlertsBot. Treat any other request as fraud and report it to support@tradedfine.in.

3.3 If you lose your phone and recovery codes, you may reset the second step yourself. For your protection the reset takes effect after a waiting period, and for a period afterwards your limits can be tightened but not loosened. We may place an account on hold if we suspect unauthorised access. A hold stops sign-in and changes; it does not switch off monitoring or limits already in force.

4. Connecting your broker

4.1 You connect your broker account through your broker's own login page. The broker grants TradeDFine access under the broker's terms, and you can withdraw that access at any time from your broker account.

4.2 Brokers are named as supported only after we have tested them. Broker connections, the information available through them and the actions they allow are controlled by your broker and the exchanges and may change or stop without notice to us.

4.3 You must log in to your broker each trading day as your broker requires. The Service cannot monitor or act on your account while it has no valid access.

5. Shadow mode and live controls

5.1 New accounts start in shadow mode. In shadow mode the Service reads your account information and records what it would have done; it does not place, modify or cancel any order.

5.2 Where available, you may switch individual controls to live. A live control may, on your standing instruction, exit open positions or prevent new entries when a limit you set is reached. You give that instruction separately for each control.

5.3 Tightening a limit applies at once. Loosening a limit applies from the next trading session, so that a limit cannot be relaxed in the heat of the moment.

5.4 Live controls are available only where your broker, the exchanges and applicable law permit them, and only after we announce them.

6. No guarantee of outcome

6.1 The Service acts as soon as it detects that a limit has been reached, but it cannot guarantee any exit price, that an order will be filled, or that your loss will stay within the limit. Prices can move past a limit before an exit is filled, particularly in fast, illiquid or gapping markets, near expiry, or when an exchange, broker or network is slow or unavailable.

6.2 If information from your broker is missing, late or inconsistent, the Service shows the state as unknown, not as within your limit, and alerts you. You remain responsible for watching and managing your positions in your broker's own app at all times.

6.3 The Service is not a substitute for your own judgement or for your broker's risk systems.

7. Fees

7.1 The founding beta is free. Paid plans will be announced, with their prices and terms, before they start. We will not charge you without your explicit agreement to a paid plan.

7.2 When paid plans start, prices, taxes, billing periods, cancellation and refunds will be as shown at the time of purchase and in the Cancellation and Refund Policy. Payments are processed by our payment partner; we do not see or store your card, UPI or bank credentials.

8. Acceptable use

You must not:

9. Your data

How we collect, use, store and protect personal data is described in the Privacy Notice. You may download your activity log and ask us to correct or delete your data as the Privacy Notice explains.

10. Availability and changes to the Service

10.1 We aim to keep the Service available during market hours but do not promise uninterrupted availability. We may carry out maintenance, preferably outside market hours, and will tell you in advance where we can.

10.2 The beta is a test of the Service. Features may change, be added or be withdrawn.

11. Limitation of liability

11.1 To the extent the law allows, TradeDFine is not liable for any trading loss, missed profit, slippage, or loss arising from market movements, broker or exchange actions or outages, network failures, your instructions or your failure to act.

11.2 To the extent the law allows, our total liability to you for any claim relating to the Service is limited to the fees you paid us for the Service in the three months before the claim arose. During the free beta this is zero.

11.3 Nothing in these Terms limits any liability that cannot be limited under Indian law, including under the Consumer Protection Act, 2019.

12. Indemnity

You agree to compensate TradeDFine for losses caused by your breach of these Terms or misuse of the Service, to the extent the law allows.

13. Suspension and closure

13.1 You may close your account at any time by writing to support@tradedfine.in. Closing your account removes TradeDFine's access to your broker account; you should also revoke the connection in your broker account.

13.2 We may suspend or close your account if you breach these Terms, if we are required to by law, a regulator, an exchange or your broker, or to protect you or other users. Where possible we will tell you first and give reasons.

14. Changes to these Terms

We may update these Terms. We will tell you about material changes by email and in the app at least 14 days before they take effect, unless a change is required sooner by law. If you do not agree, you may close your account before the change takes effect.

15. Grievances and contact

15.1 For questions or complaints write to support@tradedfine.in. We acknowledge complaints within 2 working days and aim to resolve them within 15 working days.

15.2 Privacy requests and complaints: privacy@tradedfine.in (see the Privacy Notice for the Grievance Officer).

15.3 Phone: +91 70301 95178. Email is the quickest way to reach us. We will never ask for codes, passwords or secrets on a call.

16. Governing law

These Terms are governed by the laws of India. Subject to any consumer forum you are entitled to approach, the courts at [city] have exclusive jurisdiction.
